Agreement to Terms
By accessing or using the Wyze Health clinical intelligence platform (“Services”), you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of these terms, you may not access the Services.
1. Service Description
Wyze Health provides an AI-powered clinical intelligence platform designed specifically for hormone and fertility health providers. Our Services include:
- Clinical documentation assistance
- Patient data consolidation and analysis
- AI-powered diagnostic support
- Treatment recommendation systems
- Practice management tools
- Workflow optimization features
IMPORTANT: Our Services are clinical decision support tools and are not substitutes for professional medical judgment.
2. Eligibility and Account Registration
2.1 Eligibility
You must be:
- A licensed healthcare provider or authorized staff member
- At least 18 years of age
- Authorized to enter binding contracts
2.2 Account Requirements
- Provide accurate, current information
- Maintain security of login credentials
- Notify us immediately of unauthorized access
- One account per user (no sharing)
2.3 Verification
We may require verification of:
- Professional licensure
- Identity documentation
- Practice affiliation
- HIPAA training certification
3. Acceptable Use Policy
3.1 You MUST:
- Use Services only for legitimate healthcare purposes
- Maintain patient confidentiality
- Comply with all applicable laws and regulations
- Verify AI recommendations before clinical use
- Report any suspected security issues
3.2 You MUST NOT:
- Share login credentials
- Attempt to reverse-engineer the AI systems
- Use Services for non-clinical purposes
- Upload false or misleading information
- Circumvent security measures
- Violate patient privacy rights
4. Clinical Use Disclaimers
4.1 Not Medical Advice
The Services provide clinical decision support but do not replace professional medical judgment. All recommendations must be validated by qualified healthcare providers.
4.2 No Warranty of Accuracy
While we strive for accuracy, we cannot guarantee that AI-generated insights are error-free. Healthcare providers remain responsible for all clinical decisions.

5.1 Wyze Health Property
- Software platform and interfaces
- AI algorithms and models
- Documentation and training materials
- Trademarks and branding
5.2 User Content
- You retain ownership of patient data
- You grant us limited license to process data for Service provision
- De-identified insights may be used for improvement
5.3 Feedback
Suggestions and feedback become property of Wyze Health and may be used without compensation.
6. Payment Terms
6.1 Subscription Fees
- Billed monthly or annually in advance
- Based on number of providers
- Non-refundable except as required by law
6.2 Payment Methods
- Credit card or ACH transfer
- Automatic renewal unless cancelled
- Price changes with 30 days notice
6.3 Taxes
You are responsible for applicable taxes except where we are legally required to collect them.
7. Data Ownership and Portability
7.1 Your Data
- You own all patient data
- You can export data at any time
- Standard formats provided (HL7, CSV, PDF)
7.2 Service Data
- We own aggregated, de-identified analytics
- Usage patterns and system metrics
- AI model improvements
8. Confidentiality
Both parties agree to maintain confidentiality of:
- Proprietary information
- Business practices
- Technical specifications
- Patient information (governed by BAA)
9. Indemnification
You agree to indemnify and hold harmless Wyze Health from claims arising from:
- Your use of the Services
- Violation of these Terms
- Violation of any laws or regulations
- Clinical decisions based on Service output
- Breach of patient confidentiality
10. Limitation of Liability
10.1 Disclaimer of Warranties
SERVICES PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.
10.2 Limitation of Damages
IN NO EVENT SHALL WYZE HEALTH BE LIABLE FOR:
- Indirect, incidental, or consequential damages
- Lost profits or revenue
- Medical malpractice claims
- Damages exceeding fees paid in preceding 12 months
10.3 Exceptions
Limitations may not apply where prohibited by law.
11. Termination
11.1 By You
- Cancel subscription with 30 days notice
- Export data before termination
- Fees non-refundable
11.2 By Us
We may terminate immediately for:
- Violation of Terms
- Non-payment
- Security risks
- Legal requirements
11.3 Effect of Termination
- Access discontinued
- Data available for export (60 days)
- Confidentiality obligations survive
12. Business Associate Agreement
Healthcare providers must execute our Business Associate Agreement (BAA) before accessing PHI through the Services. The BAA governs HIPAA compliance obligations.
13. Dispute Resolution
13.1 Informal Resolution
First attempt to resolve disputes informally through good-faith negotiation.
13.2 Arbitration
Binding arbitration under AAA Commercial Arbitration Rules for unresolved disputes.
13.3 Exceptions
Either party may seek injunctive relief for intellectual property violations or breaches of confidentiality.
14. Governing Law
These Terms are governed by the laws of [State], without regard to conflict of law principles.
15. Changes to Terms
We may modify these Terms with 30 days notice for material changes. Continued use constitutes acceptance.
16. Severability
If any provision is unenforceable, the remaining provisions continue in effect.
17. Entire Agreement
These Terms, Privacy Policy, and BAA constitute the entire agreement between parties.
